THE FANS AGREEMENT

THE JONAS BROTHERS "THE FANS" IDEA SUBMISSION AGREEMENT

By submitting any ideas, concepts, designs, or any other materials (collectively, the "Submissions") to the Jonas Brothers "THE FANS" hub (the "Hub"), which is operated, owned and controlled by Three Chord Strand Merchandising LLC (collectively, “TCS”), you hereby agree to the following terms and conditions:

1. Eligibility: You represent and warrant that you are at least 18 years of age at the time of your Submission (except you represent and warrant you are at least 19 years of age if you reside in Alabama or Nebraska). Persons under the age of 18 are not permitted to submit any ideas, concepts, designs, or other materials to the Hub.

2. Content Guidelines: You agree not to submit any Submissions that contain any explicit or sexual content, are offensive, illegal, harmful, threatening, abusive, defamatory, obscene, vulgar, hateful, or otherwise objectionable. TCS reserves the right to reject or remove any Submissions that violate these Content Guidelines, in its sole discretion.

3. Ownership: You retain ownership of your Submissions, provided you agree to grant an exclusive, worldwide license (as detailed below) to TCS, its agents, licensees, sublicensees, contractors, successors, legal representatives, assigns and third party service providers.

4. License: By submitting any Submissions to TCS, you irrevocably grant to TCS the exclusive, assignable, sub-licensable, worldwide, perpetual royalty-free license and right to use and otherwise exploit your Submissions, in whole or in party, in any manner or medium now or hereafter known or devised, including on merchandise, on the Internet, in any commercial manner, and in advertising and promotion of TCS, including, without limitation, the musical recording artist known as Jonas Brothers, and its products and services, throughout the world and in any and all languages without the requirement to make payment to you or to any third party or the need to seek any third party permission. TCS will have the right to make unlimited derivative works therefrom, to assign or transfer any or all such rights and to grant unlimited, multiple-level sublicenses with no obligations to you, whether financial, credit, approval of changes or otherwise. By submitting any Submissions, you also forever waive and relinquish all so-called “moral rights” now or hereafter recognized.

5. Compensation: You understand and agree that the submission of your idea is voluntary and made without any expectation of receiving payment or any form of compensation from TCS now or in the future. Any consideration of the Submissions, therefore, shall be at the sole discretion of TCS, and such consideration does not entitle you to any form of compensation, credit, or approval rights.

6. Waiver and Release: You hereby waive any claim that you might have, now or in the future, with respect to the manner in which TCS has used and exploited, and may in the future use and exploit, any Submissions. You release TCS from any and all claims, liabilities, demands, actions, causes of action, costs, and expenses, at law or in equity, whether known or unknown, anticipated or unanticipated, arising out of or in any way connected with the use of the Submissions.

7. No Confidentiality: You understand and agree that your Submissions will not be treated as confidential information. TCS shall have no obligation to maintain the confidentiality of any information, in whatever form, contained in any Submission, except pursuant to TCS's privacy policy.

8. Representations and Warranties: By submitting your ideas, you represent and warrant that (i) your Submissions are original to you and do not infringe upon, misappropriate, or violate the rights of any third parties, including, without limitation, copyright, trademark, trade secrets, privacy, publicity, personal or proprietary rights, and (ii) you have all the necessary rights and permissions to grant the rights and licenses granted in this Agreement.

By submitting your ideas to Hub, you are indicating your acknowledgment of, and agreement to, all the terms and conditions contained in this Agreement. If you do not agree to these terms, please do not submit any Submissions to the Hub.
